Board Resolution for Surrender of Directors Identification Number (DIN)

DIN means Directors Identification Number. It is 8 digit number, allotted to every person who desires to be director of the company. Any company whether Private limited or Public company, has directors as key managerial personnel who are responsible for managing and smooth operation of business. With an intention of avoiding confusion, separate DIN numbers are allotted to every individual who wishes to be director of Company. But what happens if you are under obligation to surrender your DIN number?? Yes surrender of DIN may be required to comply as per the provisions of Companies Act, 2013. There are circumstances whereby you may asked either by the department or your own obligation to surrender DIN. Board Resolution for surrender of DIN is required to be passed in the board meeting of the company.

Reasons for DIN surrender

DIN may be surrendered owing to any of the following reasons-

  1. Holding more than 1 DIN
  2. DIN obtained through wrongful manner
  3. Holding DIN through fraudulent way
  4. Death of Director
  5. Insolvency of Director
  6. If director becomes unfit or of unsound mind
  7. If DIN holder is not related to any company

Provision related to DIN surrender

Surrender of DIN is regulated by Section 153 read with rule 11 of The Companies (Appointment and qualification of Directors) Rule, 2014. As per the provisions of se 153, old DIN is required to retain and new DIN is required to be surrendered in case of duplication of DIN.

Procedure for DIN surrender

The procedure for DIN surrender is quite simple. You just need to follow following steps-

  1. Go to mca.gov.in
  2. Download form DIR-5
  3. Mention reason for surrender of DIN
  4. Form DIR-5 needs to be certified by any 1 of following
  • Chartered Accountant in whole time practice
  • Company Secretary in whole time practice
  • Cost Accountant in whole time practice
  1. File form RD-1 along with documents as under-
  • Passport size photo
  • Proof of identity like Voter Id card/ ADHAAR card/ PAN card
  • Proof of residence like water bill/ electricity bill/ telephone bill not older than 2 months

SURRENDER OF DIN

RESOLVED THAT pursuant to Section 153 read with rule 11 of The Companies (Appointment and qualification of Directors) Rule, 2014 the directors of the company hereby accords consent for surrender of duplicate DIN of Mr/Mrs…………………………………., retain the Old DIN no………………… and Surrender new DIN no ……………………… of the same.

“FURTHER RESOLVED THAT Mr.Mrs,……………………….. director of the company is hereby authorized to sign and execute necessary documents to give effect to the above resolution.”
